Welcome to VerdoCo. This website and store are operated by VerdoCo, a product line of Nexosprop Logistics Corp ("VerdoCo", "we", "us", or "our"). VerdoCo offers this website, including all information, tools, downloadable document packages, and services available from this site to you, the user, conditioned upon your acceptance of all terms, conditions, policies, and notices stated here.
By visiting our site and/or purchasing a digital product from us, you engage in our "Services" and agree to be bound by the following terms and conditions ("Terms of Service", "Terms"), including those additional terms and conditions and policies referenced herein and/or available by hyperlink. These Terms apply to all users of the site, including without limitation users who are browsers, vendors, customers, merchants, and/or contributors of content.

3. Single-Entity License & Intellectual Property
Upon verified purchase of a VerdoCo Series, Suite, or Command Kit, VerdoCo grants your organization a non-exclusive, non-transferable, single-entity license subject to the following strict boundaries:

Permitted Internal Use: You may complete the editable fields and use these documents solely for your organization's own internal compliance and internal audit-assistance programs.

Internal Sharing Boundaries: You may share the documents internally with employees, officers, and authorized contractors of your organization on a need-to-know basis, provided they are bound by confidentiality.

Auditor Submissions: You are permitted to present the completed PDF versions of the documents to official regulators, auditors, and legal counsel as your organization's compliance record.

Prohibition on Resale & Distribution: You may not resell, redistribute, sublicense, or share VerdoCo documents with any other organization or third party.

Commercial Service Restriction: You may not use VerdoCo documents to provide commercial compliance services to external clients or third parties under this single-entity license.

Public Upload Prohibition: Regardless of intent, uploading or posting licensed materials to any public platform, file-sharing service, or external un-secured repository constitutes unauthorized distribution and is strictly prohibited.
4. Forensic Layering & Liquidated Damages

Forensic Tracking: Every delivered VerdoCo document is uniquely encoded and structurally embedded with your organization's name, email address, transaction ID, and a proprietary canary reference code. These identifiers appear across page layout features and as non-material linguistic variations within the text.

Alteration Prohibited: Removing, altering, or obscuring copyright notices, watermarks, statutory references, buyer identity fields, or canary provisions is strictly prohibited.

Breach and Liquidated Damages: Any unauthorized sharing, distribution, replication, or license violation triggers contractual liquidated damages of $25,000 per document per instance, voids all customer support access, revokes your single-entity license, and will result in immediate legal action under 17 U.S.C. § 101 et seq.
5. Digital Products & All Sales Final

Instant Access: Because our products are digital downloads, downloadable document packages, and instant-access toolkits, all products are deemed "used" immediately upon delivery of the file links or access keys.

No Refunds: Consequently, all sales are final and non-refundable except as explicitly outlined in our Return and Refund Policy.
6. Disclaimer of Warranties; Limitation of Liability

As-Is Delivery: VerdoCo expressly disclaims all warranties, express or implied, including any warranty of fitness for a particular purpose, accuracy, or merchantability. All products are delivered "as-is" for administrative assistance and internal audit reference use only.

Limitation of Liability: In no case shall VerdoCo, Nexosprop Logistics Corp, our directors, officers, employees, or affiliates be liable for any direct, indirect, incidental, consequential, or punitive damages of any kind—including lost profits, lost revenue, lost data, or statutory penalties—arising from your reliance on or use of any product or service procured through this store.
7. Governing Law and Binding Arbitration

Binding Arbitration: All disputes, controversies, or claims arising out of or relating to these Terms of Service, the purchase of any product, or your relationship with VerdoCo shall be settled exclusively by binding arbitration before the American Arbitration Association (AAA) in accordance with its Commercial Arbitration Rules.

Seat of Arbitration: The arbitration shall be seated and conducted exclusively in Miami-Dade County, Florida.

Class Action Waiver: You explicitly waive any right to participate in class actions, class-wide arbitrations, or representative legal proceedings.
